These Terms of Service ("Terms") govern your access to and use of AlterAI's conversational AI services, websites, and related applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these Terms on its behalf.
The Service is intended for individuals 18 years or older. By using the Service, you represent and warrant that you are at least 18 and legally capable of entering into a binding agreement. We do not knowingly collect information from anyone under 18.
You may need an account to use parts of the Service. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to provide accurate information and promptly update it as needed. Notify us immediately of any unauthorized use.
"User Content" means data, text, files, or materials you submit to or through the Service. "AI Output" means content generated by the Service in response to your prompts or inputs.

Service IP. We and our licensors own all rights in the Service, including software, prompts, and visual design elements. Except for rights expressly granted, no licenses are given.
Your Content. You retain any ownership in your User Content. You grant us a worldwide, non‑exclusive, royalty‑free license to host, use, copy, store, transmit, display, and create derivative works of your User Content as needed to provide, maintain, secure, and improve the Service, including to share your User Content with third‑party AI providers used for inference.
AI Output. Subject to these Terms and applicable law, we assign to you any rights we may have in the AI Output, to the extent permitted by our third‑party providers' terms. You are responsible for your use of AI Output, including obtaining any third‑party permissions and compliance with applicable laws.
Feedback. If you provide feedback, suggestions, or ideas, you grant us a perpetual, irrevocable, worldwide, royalty‑free license to use them without restriction.
We use third‑party providers (e.g., AI inference partners and payment processors such as Stripe) to operate the Service. Your use of third‑party services may be subject to their terms and privacy policies. We are not responsible for third‑party services.
If you purchase a paid plan, you authorize us (and our payment processor) to charge you the applicable fees, including taxes. Plans may auto‑renew until canceled. You can cancel at any time to stop future charges; we may specify refund or credit terms on the pricing or checkout pages. We may change pricing upon notice; continued use after changes take effect constitutes acceptance.
These Terms remain in effect until terminated. We may suspend or terminate your access immediately for any violation of these Terms, suspected fraud or abuse, legal compliance, or to protect the Service or others. You may stop using the Service at any time. Upon termination, your license to use the Service ends.
We may modify the Service and these Terms. If we make material changes, we will update the "Last Updated" date and may provide additional notice. Your continued use after changes become effective constitutes acceptance.
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON‑INFRINGEMENT. AI OUTPUT MAY BE INACCURATE, INCOMPLETE, OFFENSIVE, OR OTHERWISE HARMFUL. YOU ALONE ARE RESPONSIBLE FOR EVALUATING AND VERIFYING AI OUTPUT BEFORE RELYING ON IT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ALTERAI OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ALTERAI FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) $100.
You will defend, indemnify, and hold harmless AlterAI and its affiliates from any claims, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your User Content, your use of AI Output, or your violation of these Terms or applicable law.
We implement commercially reasonable safeguards to protect the Service and your data, but no system is perfectly secure. You acknowledge that unauthorized access or incidents may occur despite our efforts.
You may not use the Service in or for the benefit of any country, organization, or person embargoed or sanctioned by applicable laws, or otherwise in violation of export control or sanctions regulations.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of laws rules. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Pennsylvania for any dispute not subject to arbitration or that cannot be otherwise resolved. Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the foregoing applies to the fullest extent permitted by law.
If any provision is unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force. You may not assign these Terms without our consent; we may assign them without restriction. These Terms constitute the entire agreement between you and AlterAI regarding the Service and supersede prior agreements on the same subject.
